Terms of Use — KinPet Cares Program
Version: 1.2
Effective date: July 7, 2026
Consent reference: version 1.2
PART I — GENERAL PROVISIONS
1. Parties, acceptance, and electronic consent
1.1. These KinPet Cares Program Terms of Use (“Program Terms”) govern the participation of eligible nonprofit animal-welfare organizations (“NGO” or “you”) in the KinPet KinPet Cares partnership program (“Program”), including direct referral donation shares from pet guardians who subscribe through your NGO and annual Corporate Philanthropy Pool participation when KinPet records consolidated net profit in your registered operating market.
1.2. The Program is operated exclusively by In Connect Business Marketing LLC, a limited liability company (LLC) organized under the laws of the State of Delaware, USA, with its principal office at 8 The Green, Ste A, Dover, DE 19901, USA (Contracting Entity — Annex A). “KinPet”, “we”, or “Contractor” refers to that entity in operating the Program.
1.3. These Terms (https://www.kinpet.ai/terms/ongs) supplement — and do not replace — the General Terms of Use (https://www.kinpet.ai/terms) and the Privacy Policy (https://www.kinpet.ai/privacy). The Cookie Policy and other applicable legal documents apply when indicated, without repetition in this instrument.
1.4. By registering as an NGO, you declare that you have read, understood, and accepted these Terms, the Privacy Policy, the Independent Relationship Legal Notice (Clause 3), and the Annex applicable to your jurisdiction.
1.5. Electronic consent. KinPet records the date, time, document version, Account identifier, IP address, and user agent linked to acceptance. These electronic records constitute valid proof of the formation of these Terms, under applicable law (including, where applicable, Brazil’s Marco Civil da Internet, eIDAS, or equivalent).
1.6. Electronic records and evidence. Electronic records, system logs, audit trails, authentication records, operational events, webhooks, hashes, receipts, archived screenshots (prints), timestamps, and database records relating to the Program constitute admissible evidence of the performance of these Terms, the Earning lifecycle, and operations in the Dashboard. Internal logs, audit trails, and database records enjoy a rebuttable presumption of authenticity and integrity, subject to proof to the contrary, demonstration of Material Error by the NGO, and mandatory rules applicable (including, where applicable, Brazil’s Marco Civil da Internet, eIDAS, or equivalent).
1.7. Good faith, proportionality, and operational application. All decisions provided for in these Terms shall be made in good faith, in a reasonable, proportionate, and consistent manner with the Program’s general criteria, without arbitrary or discriminatory use. Discretionary decisions provided for in these Terms shall be exercised solely for operational protection, prevention of Intentional Fraud, regulatory compliance, or Program continuity, and may not be used arbitrarily or to deprive the NGO of Acquired Earnings, except in expressly provided cases in these Terms. KinPet may interpret and operationally apply these Terms in accordance with this Clause and the Operational Annex. This Clause does not limit the NGO’s mandatory rights nor require waiver of applicable legal remedies.
1.8. Contractual balance and Acquired Earnings. No provision of these Terms shall be interpreted in a manner that authorizes KinPet to deny, reduce, or delay Acquired Earnings for merely commercial, discretionary, or arbitrary reasons, subject to expressly provided cases in these Terms (including clawback, proven Intentional Fraud, reserve, substantiated preventive freeze, legal requirement, order of a competent authority, or prevention of duly substantiated risk under the terms of Clause 1.7).
1.9. Business Judgment Rule (business judgment rule). Commercial decisions reasonably taken by KinPet for economic sustainability, continuity, security, or evolution of the Program — including adjustments to applicable commercial parameters only for future facts — do not constitute breach, provided that Clauses 1.7, 1.8, and 20.4 are observed and without affecting Acquired or Remitted earnings, except in expressly provided cases in these Terms.
1.10. Entire business discretion (entire business discretion). No provision of these Terms obliges KinPet to maintain the Program, any campaign, category, market, feature, incentive, Earning percentage, or commercial strategy, such decisions remaining within KinPet’s sole business discretion, subject to Clauses 1.7, 1.8, and 1.9, without creating expectation of continuity, permanence, or minimum volume of referrals, conversions, or earnings, and subject only to earnings already Acquired (and Remitted, where applicable) and other expressly provided rights in these Terms.
2. Definitions
The definitions below apply to these Terms. When not expressly defined, a term shall have its usual meaning in the context of the Program.
2.1. Legal concepts
| Term | Meaning |
|---|---|
| NGO | Organization, professional, influencer, or referrer participating in the Program, under the terms of Clause 1.1. |
| Contracting Entity | In Connect Business Marketing LLC, 8 The Green, Ste A, Dover, DE 19901, USA, per Annex A. |
| Referred NGO | Non-profit organization registered in KinPet Cares and linked to the NGO through official Partner referral tools. |
| Referred subscriber | Pet guardian who maintains a paid KinPet subscription eligible for the Program through a valid NGO referral chain and/or direct tutor referral (when unlocked). |
| Intentional Fraud | Intentional and fraudulent conduct aimed at obtaining Earning or undue advantage in the Program. Includes, without limitation: fraudulent self-referral; creation or use of fake accounts; use of third-party identity; manipulation of cookies, devices, or attribution parameters; manipulation of referral algorithms; use of bots or unauthorized automation with intent; unauthorized financial incentive to third parties to subscribe; fraudulent abuse of coupons or promotions; artificial duplication of charges; any fraudulent attempt to manipulate the system, even if unsuccessful; and any intentional attempt to obtain Earning artificially. In these Terms, “Fraud” means Intentional Fraud, unless expressly stated otherwise. |
| Operational abuse | Incorrect, negligent, or unauthorized use of the Program without proven intent, that compromises eligibility, attribution, or operational integrity. Includes, without limitation: incorrect use of link, QR, or code outside the eligible market; disclosure on an unauthorized channel; relevant registration inconsistencies without fraudulent intent; and similar conduct that does not constitute Intentional Fraud. Operational abuse does not automatically equate to Intentional Fraud, but may result in proportionate measures (Clauses 2.1 and 11.5). |
| Minor violation | Isolated or low-impact breach of these Terms or the Operational Annex, without material risk to KinPet, subscribers, or third parties (e.g., isolated correctable disclosure error, minor registration inconsistency). |
| Moderate violation | Material or repeated breach affecting eligibility, attribution, or operational integrity, without reaching the severity of a Serious violation (e.g., repeated Operational abuse, breach of platform policies, insufficiently identified advertising). |
| Serious violation | Conduct that materially compromises the integrity, security, reputation, or compliance of the Program. Includes, without limitation: Intentional Fraud; money laundering or financing of illicit activities; spam or unauthorized mass communications; misleading use of the KinPet brand; deepfakes, synthetic voice, cloning, or misleading synthetic image of the brand; reverse engineering of Program systems; violation of international sanctions; unlawful or misleading advertising; document forgery or tampering; phishing or attacks against KinPet or subscribers; and conduct of equivalent severity. |
2.2. Operational concepts (reference)
| Term | Meaning |
|---|---|
| Account | KinPet user account linked to the NGO’s registration, used for authentication, acceptance of these Terms, and access to the Dashboard. |
| Dashboard | Interface made available to the NGO to view metrics, Earning statuses, remittances, referral links, and other Program information. |
| Referral Code | Unique identifier assigned to the NGO (format kp-…). Belongs exclusively to KinPet; the NGO receives a limited license to use during participation in the Program, without ownership, transfer, or sublicensing rights. |
| NGO referral chain | Attribution path in which the NGO refers an NGO to KinPet Cares and earnings arise from paid subscriptions brought by that NGO’s referral tools. |
| Tutor referral (direct) | Attribution path in which the NGO refers a pet guardian directly, using a dedicated tutor link/code only after unlock (Clause 5.6). |
| Payment Processor | Third-party provider chosen by KinPet for settlement, remittance, and other payment operations to the NGO in the Program (e.g., Stripe Connect Express or equivalent). Onboarding, identity verification (KYC), banking, and tax data required for remittance are processes operated by the Payment Processor, under that third party’s terms and policies, not constituting a KinPet requirement beyond enablement for remittance via the Program. KinPet may replace it at any time, without change to express contractual rights in Part I, except when material communication is required. |
| Material Error | Objective and verifiable error in processing, calculation, duplication, integration, operational record, software bug, system failure, data corruption or desynchronization, rollback, software-caused duplication, or similar event, excluding interpretive discrepancies, subjective commercial expectations, or disagreements about policies disclosed in these Terms. |
| System Error | Material Error arising from software failure, infrastructure, integration, duplicate or missing webhook, incomplete reconciliation, banking error, Payment Processor error, foreign exchange error, or settlement error, resulting in undue or duplicate credit, debit, remittance, or record in the Program. |
| Beta Feature | Feature, Dashboard, API, integration, or channel identified as beta, alpha, preview, experimental, or equivalent, without guarantee of continuity, availability, or definitive behavior (Clause 17.6). |
2.3. Financial concepts (legal)
| Term | Meaning |
|---|---|
| Charge | Subscription invoice or transaction generated in favor of KinPet in connection with a referred subscriber. |
| Earning | Remuneration due to the NGO for an eligible referral, calculated on Net Revenue per applicable percentage and Operational Annex. |
| Acquired Earning | the NGO’s definitively vested proprietary right under Clauses 5.5 and 5.5.1, subject only to expressly provided exceptions in these Terms (reserve, clawback, remittance, and other contractual or legal cases). |
| Remitted Earning | Acquired Earning effectively transferred to the NGO via the Payment Processor. |
| Reserve | Portion withheld from Acquired Earning to mitigate chargebacks. Standard reserve per Operational Annex; KinPet may apply a higher percentage, up to a maximum cap of 25%, under Clause 6.1. |
| Clawback | Reversal of Acquired or Remitted Earning due to refund, chargeback, or adjustment on the originating Charge, under the terms of Clause 8. |
| Remittance | Transfer of earnings owed to the NGO via the Payment Processor. |
Operational parameters — including Settlement, Eligible Charge, Eligible Payment, Net Revenue, Earning states, percentages, hold periods, formulas, integrations, webhooks, and batch processing — are set out exclusively in the Operational Annex, without prejudice to legal rights and deadlines provided in Part I.
3. Legal nature — independent commercial partnership
3.1. The Program has the commercial nature of a referral partnership. For purposes of the NGOs Program only, the NGO participates as an independent nonprofit partner and does not establish an employment, commercial agency, franchise, or partnership relationship.
3.2. the NGO participates as an independent nonprofit organization. No employment relationship, joint venture, or agency relationship exists. the NGO does not have authority to negotiate, bind, or represent KinPet before third parties.
3.3. Legal notice (mandatory acceptance at registration):
“KinPet Cares partner NGOs are independent nonprofit organizations and are not KinPet employees, agents, or representatives.”
3.4. the NGO is solely responsible for compliance with tax, social security, labor, and regulatory obligations applicable to their activity and amounts received (see Clause 14 and jurisdictional Annexes).
3.5. No exclusivity. Nothing in these Terms establishes exclusivity between the parties. the NGO remains free to work with other brands, except as expressly provided in these Terms or in specific campaigns.
3.6. No platform affiliation. Apple, Google, Meta, TikTok, YouTube, Stripe, and other platforms or payment processors do not sponsor, endorse, or administer this Program. Any mention of such platforms refers solely to disclosure, billing, or remittance channels used by the NGO or KinPet.
3.7. No fiduciary duty (no fiduciary duty). Nothing in these Terms creates or imposes a fiduciary, expanded trust, tacit mandate, joint venture, partnership, or loyalty duty beyond obligations expressly provided in these Terms. KinPet does not assume a fiduciary duty of asset protection, advisory services, investment management, or maximization of the NGO’s earnings.
4. Eligibility, registration, and international restrictions
4.1. Requirements: verified KinPet account; registration at https://app.kinpet.ai/ongs/partner/register; truthful information (identity or organization, country, tax residence, tax ID, NGO type); legal acceptances.
4.2. Restrictions. The following may not participate:
(a) persons or entities located in, resident in, or organized in countries or territories subject to international sanctions applicable to KinPet or the Payment Processor, including OFAC (US), European Union, and United Kingdom (UK Sanctions) sanctions;
(b) persons included on export control, anti-terrorism, or anti-corruption restrictive lists;
(c) persons prohibited by local law from receiving international payments.
4.3. KinPet may refuse, suspend, or terminate registrations, including after compliance verifications, under Clauses 1.7 and 1.8.
4.4. Prohibited: multiple NGO profiles; duplicate email; self-referral; registration of domains, handles, or brands containing “KinPet” without authorization (Clause 15).
4.5. Account security. the NGO is responsible for maintaining the confidentiality of access credentials (password, tokens, multi-factor authentication/MFA when available) and for immediately notifying KinPet of any unauthorized use, compromise, or suspected improper access to the Account.
4.6. Possibly compromised account. When there are reasonable indications of compromise of the Account, credentials, email, social media profile, or disclosure channel (e.g., intrusion, takeover, password leak, or anomalous activity), KinPet may immediately suspend links, Referral Code, remittances, and other Program operations until identity revalidation and regularization, under Clauses 1.7 and 1.8, without prejudice to legitimate Acquired Earnings and applicable investigations.
4.7. Minors. Minors may participate in the Program only with valid legal representation and when permitted by applicable local law and Payment Processor requirements. KinPet may refuse or terminate registrations that do not meet these requirements.
5. Referrals, donation shares, and Corporate Philanthropy Pool — rights and eligibility
5.1. Direct referral donation share (Referral Share). When a pet guardian (“Subscriber”) maintains a paid KinPet subscription attributed to your NGO through your official referral link, QR code, or signup code, your NGO receives a Referral Donation Share calculated as a percentage of Net Revenue from each eligible paid invoice while the referral remains active under Program rules.
5.2. Standard referral rate. Unless the Dashboard shows a different approved rate, the standard Referral Donation Share is 25% (twenty-five percent) of Net Revenue (donation_rate_bps = 2500). NGOs registered without Kin Partner attribution may receive an elevated rate of 50% (fifty percent) only when expressly approved by KinPet administration.
5.3. Kin Partner attribution and combined cap. If you registered with a valid Kin Partner referral code (kp-…), your NGO is linked to that Partner. When a subscription generates both a Kin Partner commission and your Referral Donation Share on the same Net Revenue base, the combined amount is capped at 50% (fifty percent) of Net Revenue. Your share is calculated under KinPet Cares rules; the Kin Partner commission may be reduced so the combined total does not exceed the cap.
5.4. Corporate Philanthropy Pool (Annual Net Profit Share). In addition to Referral Donation Shares, KinPet reserves 10% (ten percent) of KinPet’s consolidated Net Profit attributable to your NGO’s registered operating market (country) for each fiscal year to an internal Corporate Philanthropy Pool distributed among active participating NGOs in that same market after annual accounting close and applicable audit or financial review. Your allocation is proportional to your Cares Score for that fiscal year within that market (see Clause 5.5). The 10% reserve follows KinPet’s accounting close; consolidated distribution occurs annually. KinPet may, at its discretion, record provisional allocations or make quarterly advances against the annual pool, subject to reconciliation after fiscal-year close. If KinPet records no positive consolidated Net Profit for your market in a fiscal year, no Corporate Philanthropy Pool distribution occurs for that market and year. This pool does not constitute a separate legal or financial entity, but an internal budgetary profit-sharing allocation from KinPet’s own net profit.
5.5. Cares Score (Corporate Philanthropy Pool weighting). Corporate Philanthropy Pool weighting within your operating market considers, among other factors disclosed in the Dashboard: animals helped (monthly count), months as an active Cares partner, impact reports submitted in the period, and completion of Payment Processor (Stripe Connect) payout setup. KinPet may update scoring criteria in the Operational Annex for future fiscal years only, under Clauses 1.7 and 1.8.
5.6. Monthly vs annual cycles. Referral Donation Shares are calculated monthly on eligible active referrals. Corporate Philanthropy Pool allocations are calculated and settled annually, based on consolidated market Net Profit for KinPet’s fiscal year (calendar year unless KinPet discloses otherwise in the Dashboard), per operating market. KinPet may record provisional Cares Score weighting or make quarterly advances against the annual pool; final allocation follows fiscal-year close and reconciliation, under Clauses 1.7 and 1.8.
5.7. Single market. Earnings arise only when the Subscriber’s country matches your NGO’s registered operating market and the payment currency corresponds to that market (e.g., BRL/Brazil), unless KinPet expressly enables additional markets in the Dashboard.
5.8. Referral earning window. Referral Donation Share on each paid invoice of an eligible referred subscription for up to 365 days from that Subscriber’s first paid subscription attributed to your NGO. After that period, new invoices on the same subscription do not generate additional Referral Donation Share. Trials or “trialing” status without a paid charge do not generate earnings.
5.9. Vesting of Acquired Earnings. The right to Acquired earnings vests only when, cumulatively:
(a) there is a valid referral attribution and Settled Eligible Charge (per Operational Annex);
(b) the Charge remains valid during the applicable hold period;
(c) there is no Intentional Fraud, invalidating Operational abuse, or Serious violation;
(d) other requirements of these Terms and the Operational Annex are met.
Payment authorization, provisional record, or display in the Dashboard do not, by themselves, constitute Acquired Earnings.
5.9.1. Effects of vesting. Once Acquired Earnings are vested, they definitively form part of the NGO’s legal assets, subject only to expressly provided cases in these Terms (including clawback, proven Intentional Fraud, compensation (set-off), reserve, and legal or competent authority determination).
5.10. Impact reports. Active participation in the Corporate Philanthropy Pool requires good-faith submission of impact reports when requested by KinPet. Failure to submit required reports may reduce Cares Score or suspend Corporate Philanthropy Pool eligibility for future fiscal years, under Clauses 1.7 and 1.8, without affecting legitimately Acquired Referral Donation Shares.
5.11. Promotional campaigns. When the Subscriber benefits from promotional pricing, trial with reduced charge, or discount, earnings shall be calculated on net revenue actually charged and settled on each invoice, per Operational Annex.
5.12. Not eligible: free registration; zero or unsettled charges; incompatible market; Intentional Fraud; invalidating Operational abuse; self-referral (including your own organization’s subscriptions or accounts you control); charges outside the 365-day window; duplication or cancellation before definitive settlement; Corporate Philanthropy Pool allocation below operational minimum thresholds.
6. Hold, reserve, and dispute
6.1. Hold and reserve. KinPet applies a hold period and reserve on earnings to mitigate chargebacks. The standard reserve and release timelines are set out in the Operational Annex. KinPet may apply a higher percentage than the standard reserve, up to the maximum cap of 25% (twenty-five percent), in situations of elevated risk, abnormal chargeback, AML/KYC investigations, or specific markets, under Clauses 1.7 and 1.8, without altering earnings already Remitted, except clawback or mandatory legal provision.
6.2. Dispute. the NGO may dispute the calculation or treatment of a Earning within 90 (ninety) days after its availability in the Dashboard, by opening a request through official channels indicated in Clause 21.1. After that period, except for proven Material Error or mandatory legal provision, the record shall be deemed accepted for operational and remittance purposes.
7. Remittances
7.1. Exclusively via the Payment Processor chosen by KinPet, in the currency of the NGO’s market.
7.2. Payment Processor onboarding (Stripe Connect). Before the first remittance, the NGO must complete onboarding with the Payment Processor (e.g., Stripe Connect Express), including KYC, banking, and tax data as required by the Payment Processor, not directly by KinPet. The remittance flow is enabled after the first Acquired Earning and valid/approved registration with the Payment Processor. Refusal, suspension, or additional requirements imposed by the Payment Processor are subject to Clause 7.6.
7.3. Remittances occur on periodic cycles, per Operational Annex (including minimum remittance amount), provided Payment Processor onboarding is complete and no applicable blocks exist.
7.4. Pending clawback debits deducted before each remittance. Amounts effectively transferred constitute Remitted Earning.
7.5. Credit timelines depend on the Payment Processor and financial institution.
7.6. Payment Processor approval. KinPet does not guarantee approval, maintenance, or continuity of the NGO’s registration with the Payment Processor (including Stripe Connect). Refusal, suspension, termination, or KYC requirements imposed by the Payment Processor do not create KinPet liability, except as required by mandatory law.
8. Clawback (Earning reversal)
8.1. If the charge that originated the Earning suffers refund, chargeback, banking error, Payment Processor error, foreign exchange error, settlement error, or related System Error, KinPet may apply clawback or correction on the corresponding Earning, Reserve still held, or undue remittance.
8.2. 180-day window. Clawback applies to refund or chargeback events occurring or recorded during the 180 (one hundred eighty) days following Acquired Earning. Within that period, whenever there is a refund or chargeback related to the original charge, KinPet may:
(a) reverse Acquired Earning not yet Remitted;
(b) reduce reserve balances;
(c) record pending debit if the Earning is already Remitted, offsettable against future remittances.
8.3. After the 180th day, new events on that Earning do not generate clawback, except proven Intentional Fraud with reliable documentation, auditable technical records, Payment Processor determination, or court decision, or mandatory legal provision.
8.4. Compensation (set-off). In addition to clawback, KinPet may offset credits and debits existing between the parties arising from the Program (including remittances, reserves, pending clawbacks, and operational adjustments), subject to applicable law and with Dashboard record when required.
8.5. Conflicting events, reconciliation, and order of priority. In the event of conflicting events or temporary discrepancies between records of KinPet, the Payment Processor, app stores, financial institutions, or other channels, the following order of priority shall apply for reconciliation purposes, except for proven Material Error or System Error:
- Definitive determination by the Payment Processor on settlement, remittance, or chargeback;
- Definitive record of the applicable billing channel (e.g., app store);
- Banking confirmation or settlement agent confirmation, where applicable;
- Internal records of KinPet after reconciliation.
The last event deemed definitive under the order above shall prevail, as recorded in KinPet’s systems, without temporary differences constituting KinPet breach.
8.6. System error recovery (system error recovery / disaster accounting). Any remittance, credit, Earning, Reserve, or payment made due to System Error or Material Error may be corrected, reversed, offset (set-off), or recovered by KinPet, including after Remittance, with Dashboard record where applicable, without constituting breach, except as required by mandatory law and subject to Clauses 1.7 and 1.8 regarding legitimately Acquired earnings.
9. Partner obligations
9.1. Disclosure clearly identified as advertising/sponsorship under applicable laws (see Annexes B, C, and D) and, where applicable, disclosure platform policies (Meta, TikTok, YouTube, Google, and equivalents).
9.2. Truthfulness; prohibition on promising guaranteed earnings or unproven health outcomes.
9.3. AI and synthetic content compliance. the NGO may not use artificial intelligence (including automated generation of text, image, audio, or video), deepfakes, synthetic voice, voice cloning, synthetic KinPet brand imagery, or equivalent content to create materials attributing non-existent features to KinPet, promising guaranteed results, imitating KinPet employees/officials, or making misleading claims about animal health or product performance.
9.4. Use of official materials; prohibition on pages that imitate KinPet.
9.5. Keep registration, tax, and banking data up to date.
9.6. Cooperate with audits and anti-fraud verifications (Clause 11).
9.7. Anti-circumvention. the NGO undertakes not to interfere with the commercial relationship between KinPet and referred subscribers nor direct them to alternative contracting methods aimed at circumventing the Program or reducing earnings owed.
9.8. Non-solicitation of employees. During participation in the Program and for 12 (twelve) months after termination, the NGO shall not actively solicit hiring of key KinPet employees for themselves or third parties, except general non-targeted communication (e.g., public job posting) or written KinPet authorization.
10. Prohibited conduct
Intentional Fraud (per Clause 2.1); serious or repeated Operational abuse; spam; self-referral; bots and unauthorized incentives; falsehood about affiliation with KinPet; sublicensing of the code; violation of sanctions or export laws; conduct harming KinPet, subscribers, or third parties; Program circumvention (Clause 9.7); reverse engineering of attribution, anti-fraud, or Earning calculation algorithms; automation, scraping, load testing, stress testing, DDoS, endpoint enumeration, or unauthorized extraction of Program data or systems (Clause 15.8).
11. Audit rights and fraud prevention
11.1. KinPet may review, audit, and withhold transactions, referrals, and remittances for fraud prevention, legal compliance, and Program integrity, including through automated mechanisms, artificial intelligence, statistical models, and independent third-party auditors, under Clauses 1.7 and 1.8.
11.2. the NGO shall provide additional information limited to information reasonably necessary for investigation or audit. Remittances may be suspended during investigations, which shall be conducted within a reasonable timeframe, whenever possible, under Clauses 1.7 and 1.8.
11.3. Operational and system errors. KinPet may correct Material Errors and System Errors (Clause 2.2), making necessary adjustments to balances, earnings, reserves, and remittances — including rollback, reversal of duplications, and reconciliation — with Dashboard record where applicable, under Clauses 8.6 and 1.8.
11.4. Temporal limitation. The audit and correction right provided in this Clause subsists for the longest period permitted by applicable law or, when the law establishes a mandatory shorter period, for that period.
11.5. Proportionate measures. Based on violation classification (Clause 2.1), recurrence, and risk, KinPet may apply progressive measures under Clauses 1.7 and 1.8, including: (a) warning; (b) partial suspension of the Program or Referral Code; (c) temporary withholding of remittances; (d) cancellation of non-Acquired earnings; (e) termination of participation for Serious violation or qualified recurrence.
11.6. Future technical compliance. KinPet may implement additional technical mechanisms for fraud prevention, authentication, identity verification, risk analysis, artificial intelligence, and continuous monitoring, provided they do not alter express contractual rights provided in Part I.
11.7. Audit limits and algorithm explanation. the NGO may not require access to internal systems, logs, algorithms, anti-fraud models, risk scores, source code, or infrastructure of KinPet, except as required by mandatory law or competent court order. KinPet has no contractual duty to explain the internal logic, weights, features, or operation of anti-fraud engines, statistical models, machine learning, LLM, or automated decision systems, beyond what is required by applicable law (including algorithmic transparency rights when mandatory).
11.8. Preventive freeze. KinPet may temporarily freeze balances, Acquired Earnings, Reserves, or amounts in processing when there is reasonable suspicion of Intentional Fraud, regulatory determination, AML/KYC investigation, or material financial risk, until completion of analysis, under Clauses 1.7 and 1.8, without prejudice to clawback and other applicable measures.
11.9. Automated decisions and AI. The Program may use automated decisions, artificial intelligence, LLM, machine learning, risk scoring, and anti-fraud engines for attribution, eligibility, withholding, suspension, cancellation, or correction of earnings and remittances. Such decisions shall be applied under Clauses 1.7, 1.8, and 1.9, without guarantee of human review in all cases, except as required by mandatory law. the NGO may request review of a material automated decision through official channels (Clause 21.1), without right to algorithmic explanation beyond Clause 11.7.
12. AML, KYC, and payment compliance
12.1. KinPet and the Payment Processor may request additional documentation for compliance with AML (Anti-Money Laundering), KYC (Know Your Customer), counter-terrorism financing, sanctions, and regulatory requirements.
12.2. Refusal or documentary inconsistency may result in suspension, withholding of remittances, or termination of the Program.
12.3. Sanctions and dynamic compliance. KinPet may immediately suspend the Program, remittances, or Partner participation when necessary for compliance with subsequent changes in sanctions, AML, counter-terrorism financing, export control, or regulatory determinations applicable, without prejudice to Acquired Earnings and mandatory legal obligations.
12.4. Regulatory sharing. KinPet may share documents, information, and records with competent authorities and compliance partners (including the Payment Processor) when required by law, regulation, AML/KYC investigation, or determination of a competent authority, to the extent necessary and under the Privacy Policy.
12.5. Automatic adaptation to legislative change. When new legislation, regulation, authority guidance, or compliance requirement makes updated compliance necessary, KinPet may automatically, under Clauses 1.7 and 1.10, suspend countries or markets, withdraw or restrict features, change payment or remittance flows, modify eligibility requirements, or restrict channels, categories, and participants, without prejudice to Acquired earnings and mandatory legal obligations, and may act without prior notice when the legal requirement is immediate.
13. Termination and post-termination effects
13.1. KinPet may suspend or terminate the NGO’s participation for commercial, operational, regulatory, security, fraud prevention, or breach of these Terms reasons, subject to applicable legal obligations and Clauses 1.7 and 1.8.
13.1.1. Emergency suspension (immediate suspension). Without prejudice to Clause 13.1, KinPet may immediately suspend, without prior notice, participation, remittances, or use of the Referral Code when there is imminent risk of harm, including — without limitation — attacks, phishing, Intentional Fraud or Serious violation in progress, applicable sanctions or regulatory restrictions, court order or determination of a competent authority, possibly compromised Account (Clause 4.6) or Account security compromise, for the time strictly necessary to mitigate risk or complete applicable verification.
13.2. Voluntary termination: request via [● support channel].
13.3. Effects of termination:
| Effect | Consequence |
|---|---|
| Referral Code | Deactivated |
| Links and QR | Cease to generate new eligible referrals |
| New referrals | Do not generate new earnings |
| Acquired Earnings | Subject to remittance, reserve, and clawback under these Terms |
| Brand license | Ceases immediately (Clause 15.2), except uses provided in Clause 15.4 |
| Serious violation | Non-Acquired earnings may be cancelled; clawback on unduly Acquired or Remitted Earnings (per definition in Clause 2.1) |
13.4. Inactivity. Accounts without relevant activity in the Program (e.g., absence of referrals, conversions, or Dashboard access) for 24 (twenty-four) consecutive months may be terminated by KinPet after reasonable communication attempt, without prejudice to Acquired Earnings and other effects of Clause 13.3.
13.5. Records after termination. After termination of participation, Program records may be retained, archived, or anonymized for the period necessary for legal, tax, anti-fraud compliance, dispute resolution, and remittance/clawback obligations, per KinPet Privacy Policy (https://www.kinpet.ai/privacy).
13.6. Partial discontinuation. KinPet may discontinue specific features, campaigns, markets, or channels of the Program without fully terminating the Program, subject to Acquired Earnings and reasonable prior notice where applicable.
14. Taxes
14.1. All taxes, contributions, withholdings, and charges incident on amounts received in the Program are the Partner’s sole responsibility.
14.2. KinPet does not provide tax advice. the NGO should consult qualified professionals in their country of tax residence.
14.3. When the law requires withholding at source, KinPet may withhold and provide receipts as applicable.
14.4. Death (individual). In the event of death of an individual Partner, proprietary rights that may exist in the Program shall be subject to applicable succession law and may depend on presentation of documentation required by the Contracting Entity and the Payment Processor.
14.5. International tax compliance. KinPet may request applicable tax forms and certificates (e.g., W-8BEN, W-9, VAT, NIF, CPF, CNPJ, or equivalents), as well as suspend remittances until documentary regularization required by the Contracting Entity, the Payment Processor, or applicable law.
15. Intellectual property, brands, and content
15.1. “KinPet”, “Kin”, and associated materials belong to KinPet or licensors.
15.2. Limited, revocable, non-exclusive, and non-transferable license to use official materials solely in authorized Program disclosure. 15.3. Prohibited to register or use domains, social media usernames, brands, or distinctive signs confusable with “KinPet” without written authorization.
15.3.1. Paid search ads. It is prohibited to use keywords containing “KinPet”, intentional misspellings of the brand, or KinPet registered trademarks in paid search campaigns (paid search, e.g., Google Ads, Bing Ads) without express written authorization from KinPet.
15.4. License over Partner content. the NGO declares possession of all necessary rights over licensed content and that its use in the Program does not violate third-party rights. the NGO grants KinPet a non-exclusive, worldwide, free, royalty-free (royalty-free), and revocable only as to future uses license to reproduce, display, distribute, and communicate to the public content using the KinPet brand solely in Program disclosure and authorized case studies, to the extent necessary for that purpose, without right of substantial alteration or creation of derivative works, except opt-out in writing at [● email]. Revocation shall take effect only prospectively, with previously authorized uses remaining valid, including materials already published, printed, or disseminated before receipt of opt-out. This license subsists to the extent necessary for such uses, per Clause 21.8.
15.5. Publicity right. the NGO authorizes KinPet to mention them as a participant in the KinPet Cares Program (e.g., “Creator X is a KinPet Partner”), in institutional materials, website, social media, or commercial communications, except opt-out in writing at [● email]. This right is distinct from the content license (Clause 15.4) and does not imply personal endorsement beyond participation in the Program.
15.6. Confidentiality. Non-public information made available to the NGO in the Dashboard or through official channels — including metrics, conversions, revenue, rates, CAC, aggregated performance data, and undisclosed commercial rules — is confidential. the NGO shall not disclose it to third parties nor use it outside authorized Program disclosure, except written consent or legal requirement. Exclusions. The following does not constitute confidential information: (a) information legitimately known by the NGO before disclosure by KinPet; (b) information independently developed by the NGO without use of confidential information; (c) information legitimately obtained from a third party without breach of confidentiality obligation; or (d) information that became public without fault of the NGO. It is prohibited to use internal Dashboard data for public benchmarking or external commercial comparisons without written authorization. Confidentiality remains in effect for 5 (five) years after termination of participation in the Program, except trade secrets which shall remain protected while they retain that nature.
15.7. Metrics, export, and Dashboard availability. Metrics, balances, and projections available in the Dashboard are for informational purposes only and may be adjusted due to subsequent events. KinPet may provide metrics export (e.g., CSV or API), without obligation to maintain specific format, frequency, or channel, and may change them at any time. Temporary absence or unavailability of the Dashboard does not suspend processing of earnings, remittances, hold, reserve, or clawback provided in these Terms.
15.8. Dashboard and system use. It is prohibited to access, copy, or extract Dashboard data through automation, scraping, robots, or unauthorized scripts; perform load testing, stress testing, DDoS, endpoint enumeration, or similar attacks; attempt to discover by reverse engineering attribution, anti-fraud, or Earning calculation algorithms; or circumvent technical access controls.
16. Privacy
16.1. Processing of personal data by KinPet within the Program is governed exclusively by the KinPet Privacy Policy (https://www.kinpet.ai/privacy). This document does not reproduce it.
16.2. Independent controller. the NGO shall act as an independent controller (independent controller) of personal data they may collect during their promotional activities outside KinPet systems, and is responsible for compliance with applicable law (including LGPD, GDPR, or equivalent).
16.3. Aggregated data and statistical ownership. Aggregated, anonymized, and statistical information (aggregated, anonymized and statistical information) generated within the Program belongs exclusively to KinPet and may be used for system improvement, statistical models, artificial intelligence, and platform features, under the Privacy Policy, without individual identification of the NGO except as required by mandatory law.
16.4. Subprocessors. KinPet may use subprocessors (including Payment Processor, hosting, analytics, and compliance tools) in processing data related to the Program, per Privacy Policy and applicable law.
16.5. Authority requests. KinPet may disclose information related to the Program when required by a competent authority, court order, or applicable legal provision, to the extent necessary and under the Privacy Policy.
17. Limitation of liability
17.1. Program provided “as is”. No guarantee of referral volume, conversions, or earnings. KinPet does not guarantee uninterrupted or 24/7 operation of the Program, Dashboard, or third-party integrations and does not assume minimum uptime obligation or availability SLA.

To the maximum extent permitted by applicable law, KinPet’s aggregate liability (aggregate liability) to the NGO, for all claims arising from or related to the Program, shall not exceed the total Remitted Earnings to the NGO in the 12 (twelve) months preceding the event giving rise to the claim. This limitation does not apply in cases of intent, KinPet Intentional Fraud, deliberate breach of these Terms by KinPet, or cases where applicable law prohibits such limitation.
17.4. Provisions of Annex C apply to all disputes related to these Terms.
17.5. Integrations, technology, and architecture. The Program uses APIs, services, and integrations proprietary or third-party (including Payment Processor, marketplaces, app stores, affiliate networks, cloud, identity, AI/LLM providers, and related infrastructure). Use of third-party services (e.g., Stripe, Apple, Google) is also subject to those third parties’ terms and policies. KinPet may change, replace, or discontinue architecture, databases, queues, integrations, or infrastructure without altering express contractual rights in Part I (including Acquired Earnings, pending remittances, and clawback). Implementation details are set out in the Operational Annex, with merely technical character.
17.6. Beta, Preview, and experimental features. Beta Features (Clause 2.2) — including alpha, preview, experimental, or test-labeled resources — do not create expectation of continuity, availability, compatibility, or definitive behavior. They may be modified or discontinued without notice and without warranties, without right to indemnification, except as required by mandatory law.
17.7. Third-party APIs. APIs, SDKs, webhooks, and third-party integrations may change behavior, fields, limits, authentication, or availability without prior notice. KinPet does not guarantee permanent compatibility with third parties. Changes or unavailability of APIs or integrations do not create right to indemnification, except as required by mandatory law.
17.8. Technical impossibility (technical impossibility). KinPet shall not be liable for inability to perform due to technical limitations, third-party unavailability, platform restrictions, regulatory blocks, or temporary operational impossibility, provided that reasonable mitigation measures are adopted and without alteration of Acquired earnings, except in expressly provided cases in these Terms or mandatory legal requirement.
18. Indemnification and Partner liability

- tax, legal, or regulatory changes with immediate or unforeseeable effect;
- third-party unavailability or failures (including Payment Processor, app stores, marketplaces, AI/LLM providers, DNS, registrars, cloud providers, CDN, and media platforms);
- app store blocking or removal and suspension or unavailability of third-party APIs.
19.2. Business continuity (business continuity). KinPet may perform scheduled maintenance, disaster recovery (disaster recovery), infrastructure migration, and other necessary operational procedures, without liability for temporary unavailability of the Program or Dashboard, except as required by mandatory law and without alteration of express contractual rights in Part I.
19.3. Economic impracticability (economic impracticability). Without prejudice to Clause 19.1, KinPet shall not be liable for delays, suspensions, changes, or terminations arising from events that, without constituting classic force majeure, make maintenance or operation of the Program economically impracticable in whole or in part, including — without limitation — regulatory changes that make the remuneration or remittance model unviable; extraordinary increase in costs of Payment Processor, compliance, fraud, chargeback, or infrastructure; subsequent financial unviability of market, category, or channel; or commercial restrictions imposed by essential third parties. Such measures shall observe Clauses 1.7, 1.8, 1.10, and 20.5, without affecting Acquired earnings, except in expressly provided cases in these Terms or mandatory legal requirement.
20. Changes to these Terms
20.1. KinPet may amend these Terms to reflect legal, operational, or Program changes.
20.2. Material changes shall take effect only after prior notice (email and/or dashboard) with minimum advance notice of [● 30] days, except immediate legal requirement or security/fraud reason.
20.3. When applicable law requires new consent, continued participation in the Program shall depend on express acceptance. Otherwise, the NGO may terminate participation before the change takes effect.
20.4. Program commercial rules. KinPet may change percentages, eligibility criteria, requirements, bonuses, campaigns, and promotions of the Program, under Clauses 1.7 and 1.8, provided changes apply only to future facts and do not affect Acquired or Remitted earnings, except as required by law. Notice per Clause 20.2 when material. Implementation changes follow Clauses 17.5 to 17.8.
20.5. Program availability. Without prejudice to Clause 1.10, the Program may be suspended, discontinued, or replaced by KinPet with reasonable prior notice, without prejudice to Acquired Earnings and applicable remittance, reserve, and clawback obligations.
20.6. Specific campaigns. Promotional campaigns, special programs, or one-off incentives may establish supplementary rules communicated separately. In case of conflict with these Terms, campaign rules shall prevail only in relation to the corresponding campaign; for the remainder of the Program, these Terms prevail.
20.7. Campaign discretion. Without prejudice to Clause 1.10, participation in promotional campaigns, bonuses, or incentives is entirely discretionary by KinPet (entirely discretionary) and may vary by market, category, creator profile, or commercial strategy. KinPet has no obligation to provide campaigns, bonuses, or incentives on a continuous basis.
21. Final provisions
21.1. Communications: registered email and dashboard notifications.
21.2. Assignment, succession, and corporate continuity. the NGO may not assign these Terms without written consent. KinPet may assign, transfer, or novate these Terms — in whole or in part — to an affiliate, successor, parent, subsidiary, affiliated entity, entity in the same economic group, or acquirer in context of merger, spin-off, spin-off, corporate reorganization, IPO, acquisition, or sale of assets related to the Program, with notice when material. These Terms bind and benefit successors, authorized assignees, and entities resulting from reorganization of the Contracting Entity.
21.3. Entire agreement. These Terms, Annexes, and documents expressly incorporated by reference constitute the entire agreement on the Program. No commercial communication, marketing material, FAQ, social media post, verbal statement, or employee promise modifies these Terms, except when expressly incorporated in writing by the Contracting Entity.
21.4. No waiver (waiver). Non-exercise or delay in exercise of any right provided in these Terms does not constitute waiver, novation, or precedent, with all KinPet rights remaining intact, except express written waiver. Any payment, tolerance, adjustment, credit, or forbearance made by liberality, operational convenience, or isolated correction does not constitute contractual precedent, waiver, tacit amendment, or recognition of future right.
21.5. Independence, severability, and contractual continuity (severability). Partial nullity or invalidity does not affect remaining clauses. The invalid clause shall be replaced by the legally closest interpretation of the parties’ original intent, to the extent permitted by applicable law. Any unenforceability, unavailability, or operational failure of a feature, integration, or channel does not invalidate the remainder of the Program nor express rights and obligations in Part I, except as required by mandatory law.
21.6. Governing law and dispute resolution: per Annex A and Annex C.
21.7. Language. These Terms may be made available in more than one language. In case of conflict or divergence of interpretation between translations, the English version shall prevail, as the language of the Contracting Entity (In Connect Business Marketing LLC, Delaware). Portuguese or other translations are informational only, unless expressly legally reviewed locally; technical terms in English — such as aggregate liability, business judgment rule, clawback, economic impracticability, independent contractor, material connection, no fiduciary duty, paid search, royalty-free, system error recovery, technical impossibility, and class action waiver — shall be treated under Delaware and US law, preserving functional equivalence and avoiding literal translations that alter contractual meaning.
21.8. Survival (survival). After termination of these Terms — for any reason — the following shall remain in effect, as applicable: intellectual property and brands; content license and previously authorized uses (Clause 15.4); confidentiality; limitation of liability and aggregate liability; indemnification and financial liability (Clause 18); tax obligations; audit and anti-fraud; clawback, compensation (set-off), and earnings pending remittance; AML/KYC; sanctions and export control; dispute resolution; electronic records; no waiver; survival; and other clauses that, by their nature or expression, must survive termination of the Program.
21.9. Feedback. Any feedback, suggestion, or idea submitted by the NGO about the Program may be used by KinPet without obligation of compensation, attribution, or confidentiality, except written agreement to the contrary.
21.10. Headings and interpretation. Clause headings and rubrics are for organizational purposes only and do not influence interpretation of these Terms. Whenever these Terms use “including”, “includes”, “such as”, or equivalents, they shall be interpreted as illustrative and non-limiting. Singular references include the plural and vice versa when context requires. These Terms shall be interpreted to preserve their validity, enforceability, and economic purpose whenever permitted by applicable law.
21.11. Order of precedence. In case of conflict between parts of this instrument and documents related to the Program, the following shall prevail, in this order:
- Part I — General Provisions of these Terms;
- Legal Annexes (Annexes A through E and other contractual annexes);
- KinPet Privacy Policy (https://www.kinpet.ai/privacy), only as to personal data processing;
- Operational Annex — implementation rules, parameters, and technical reference.
21.12. Deadlines, time, and day counting. Unless expressly stated otherwise, all deadlines provided in these Terms (including 365, 180, 90, and 30 days) are calendar days, calculated in UTC (Coordinated Universal Time). In case of discrepancy between local time and UTC, UTC prevails. The event date is that recorded in KinPet’s systems based on confirmations from the Payment Processor or applicable billing channel.
